Terms & Conditions

1. Price Validity

All quotations are valid for 30 days from the date of issue, unless otherwise stated.

2. Delivery Time

The production lead time is calculated in calendar days from the date the deposit is received. If the production period overlaps with public holidays or factory holidays, the lead time will be reassessed accordingly, and the revised schedule will be communicated to the buyer.

3. Trade Terms

Our standard trade terms are as follows:

  • EXW: EXW Shunde, Foshan, China — Incoterms® 2020. Prices are quoted in RMB unless otherwise specified.
  • FOB: FOB at the designated port of shipment in China, as specified in the quotation or Proforma Invoice (PI). Prices are quoted in USD unless otherwise specified.

The applicable trade term, named place or port, and currency shall be stated in the quotation or PI.

4. Payment Terms

EXW Orders

  • A 30% deposit is required before production.
  • The remaining 70% is payable after production is completed and the buyer confirms the goods, and before the goods are collected from our factory.

FOB Orders

  • A 30% deposit is required before production.
  • The remaining 70% is payable by T/T against a copy of the Bill of Lading (B/L).

Any alternative payment arrangement must be agreed upon in writing before the order is confirmed.

5. Inspection

Upon completion of production, the buyer may arrange an on-site inspection or inspect the goods through photos, videos, or other mutually agreed methods.

Inspection methods, acceptance criteria, and any special inspection requirements must be communicated before production and confirmed through email correspondence, messaging records, or signed documents exchanged between both parties.

For EXW orders, the balance payment must be settled after buyer confirmation and before collection from our factory. For FOB orders, payment shall follow the agreed FOB payment terms in Section 4.

6. Quantity Tolerance

A quantity tolerance of ±5% may apply to bulk orders or container-load shipments only when explicitly stated in the quotation or Proforma Invoice (PI).

Where this tolerance applies, the final invoice amount shall be adjusted according to the actual shipped quantity and the unit prices agreed in the PI. The buyer shall not reject the shipment or withhold payment solely because the actual shipped quantity falls within the agreed tolerance.

7. Order Requirements and Branding

When placing an order, the buyer must clearly communicate all applicable requirements, including but not limited to:

  • Required shipping and export documents
  • Requested shipping or dispatch date
  • Inspection method and requirements
  • Place of dispatch or delivery
  • Shipping marks and carton markings
  • Branding, logos, labels, and packaging requirements
  • Any other product, packaging, or shipping specifications

Unless otherwise agreed in writing, products and outer packaging will be supplied without Chinese-language text, logos, or other branding.

Any requirements communicated after order confirmation may affect production, packaging, documentation, costs, or delivery schedules and are subject to our written confirmation.

8. Taxes, Freight, and Other Charges

Prices exclude taxes and freight unless otherwise stated in the quotation or PI. Responsibility for freight, insurance, customs clearance, import duties, handling fees, and other charges shall be determined by the agreed trade term and any specific written agreement between the parties.

9. Estimated CBM

Estimated cubic meter (CBM) measurements exclude wooden frames and pallets unless otherwise specified. Final packing dimensions and volume may vary depending on the actual packaging and shipping arrangements.

10. Product Specifications and Variations

Product specifications, materials, finishes, dimensions, colors, and other agreed details shall be based on the confirmed quotation, PI, approved samples, drawings, or other applicable written order documents.

Any changes requested after order confirmation are subject to feasibility review, possible additional costs or delivery delays, and written agreement between both parties.

11. Order Acceptance

Orders and special requirements are subject to written confirmation or documented agreement, including email correspondence, messaging records, or signed documents.

The confirmed quotation, PI, and any subsequent written agreements shall govern the specific transaction, as applicable.
